SEC to vote on Regulation Crypto for crypto offerings

The U.S. Securities and Exchange Commission (SEC) will hold an open meeting on August 14 at 10 a.m. ET to consider proposing new rules for a tailored offering regime for certain investment contracts involving crypto assets, known as Regulation Crypto. This meeting, which will be webcast and open to the public, marks the SEC’s first major formal rulemaking process focused on crypto assets. The proposed Regulation Crypto aims to establish a regulated pathway for companies to offer crypto-related investment contracts. It may include exemptions from registration, fundraising, and investment contract requirements, particularly benefiting crypto startups. The framework is expected to clarify how issuers can conduct offerings when investment contracts are involved, potentially allowing capital raises without full securities registration and providing an exit route from SEC oversight once active management ends. Details of the proposal will be released if the commission votes to publish it for public comment. This initiative follows ongoing debates about the regulatory status of cryptocurrencies and comes after the Senate failed to advance related legislation.
