Metaplanet plans to acquire a 93.7% stake in Super League by investing 2,100 Bitcoin and $2.5 million in cash, pending approval from Super League stockholders at the 2026 annual meeting. The deal, valued at about $170 million as of October 16, 2026, will grant Metaplanet control over Super League, including the right to appoint a majority of the board and approve major corporate actions. The transaction includes the issuance of up to 435.9 million common shares, 100 convertible perpetual preferred shares with governance rights, and 10-year warrants for additional common stock. Metaplanet’s common shares will be subject to a five-year lock-up period. After closing, Super League will rebrand as Superplanet and list on Nasdaq under the ticker SUPA, with a new strategy focused on increasing Bitcoin holdings per share. The deal is expected to close in Q4 2026, subject to customary conditions and Nasdaq filings.
