Coinbase faces lawsuit over compliance failures

A Coinbase shareholder has filed a derivative lawsuit against several top executives and board members, alleging failures in compliance oversight and misleading statements about regulatory compliance from April 2021 to June 2023. The complaint, brought by shareholder Kevin Meehan in the U.S. District Court for the District of New Jersey, names CEO Brian Armstrong, co-founder Fred Ehrsam, chief legal officer Paul Grewal, chief financial officer Alesia Haas, and multiple current and former directors as defendants. The lawsuit claims these individuals failed to implement adequate anti-money laundering controls and did not properly disclose compliance risks. As a result, Coinbase faced regulatory penalties, including a $100 million settlement with New York regulators and a $5 million penalty from New Jersey authorities. The plaintiff seeks damages for Coinbase, governance reforms, and the recovery of executive compensation, arguing that oversight failures exposed the company to significant legal and regulatory consequences, ultimately harming shareholder value.
