Strive Acquires Semler, Surpasses Tesla in Bitcoin Holdings
Strive acquired Semler Scientific, boosting its Bitcoin holdings to nearly 12,800 BTC and becoming the eleventh largest corporate Bitcoin holder. The deal includes a reverse stock split and plans to monetize Semler’s business.
Strive has completed the acquisition of Semler Scientific in an all-stock deal, adding over 5,000 Bitcoin to its holdings and bringing its total to nearly 12,800 BTC. This move positions Strive as the eleventh largest corporate Bitcoin holder globally, surpassing companies such as Tesla and Trump Media & Technology Group. The acquisition, approved by shareholders, allows Strive to integrate Semler Scientific’s operations and Bitcoin assets, consolidating two major corporate Bitcoin portfolios. Strive also purchased an additional 123 BTC for its treasury, and plans to monetize Semler Scientific’s business, address outstanding debts, and focus on a preferred equity structure. The company announced a 1-for-20 reverse stock split for the post-merger entity. Following the announcement, shares of both companies declined, reflecting investor concerns about dilution and short-term uncertainty. Strive aims to demonstrate the viability of Bitcoin-focused corporate strategies, despite market caution regarding volatility and potential Nasdaq delisting risks due to share price declines.
