Schneider Electric to acquire PTC for $22.6B in cash

Schneider Electric has announced its agreement to acquire US-based industrial software company PTC for approximately USD 22.6 billion in cash, offering USD 205 per share—a 42.3% premium over PTC’s last closing price. Including debt, the transaction values PTC at about USD 23.7 billion, making this Schneider’s largest acquisition to date. The deal aims to establish a leading global platform for industrial software and artificial intelligence by integrating PTC’s product design and engineering solutions with Schneider’s data and energy process platforms. Schneider expects to achieve significant synergies, targeting €250 million in cost savings and €800 million in additional revenue. To finance the acquisition, Schneider will use €5–6 billion in new equity and €16–17 billion in debt. Following the announcement, Schneider’s shares dropped nearly 9–10%, reflecting investor concerns over the deal’s size, premium, and risks related to AI disruption and increased leverage. The transaction is expected to close by Q3 2027, pending regulatory and shareholder approvals.
