Ether Machine-Dynamix SPAC merger canceled amid market slump

The $1.6B SPAC merger between The Ether Machine and Dynamix has been canceled due to poor market conditions. Dynamix will receive a $50M break-up fee, reflecting ongoing crypto sector weakness.

The planned SPAC merger between The Ether Machine and Dynamix Corporation, valued at up to $1.6 billion, has been mutually terminated due to unfavorable market conditions. Initially announced in July 2025, the deal aimed to list The Ether Machine on Nasdaq under the ticker ETHM, backed by a treasury of over 400,000 ETH and more than $1 billion in ether reserves. The agreement featured a $1.5 billion fully committed PIPE financing and about $170 million in Dynamix’s trust account, making it one of the largest proposed deals in the crypto sector. As part of the termination, Dynamix will receive a $50 million break-up fee. This decision follows ongoing weakness in the crypto market, declining asset prices, and reduced premiums for treasury companies. All related agreements, including the Business Combination Agreement and support agreements, have been canceled, ending what was positioned as a major move for Ethereum treasury vehicles in public markets.
